In connection with the Offering, the Company announces that it has entered into an agreement with Canaccord Genuity Corp., to act as lead agent and sole bookrunner (the "Lead Agent"), for and on behalf of a syndicate of agents to be formed, in connection with a “best efforts” private placement of up to: (i) 466,666 units of the Company (the "Units") at a price of $18.75 per Unit (the "Offering Price") for gross proceeds of up to $8,750,000 (the "LIFE Offering") and (ii) 333,334 Units at the Offering Price for gross proceeds of up to $6,250,000 (the "Concurrent Private Placement").
